Version 1.1 · Effective date: October 30, 2026
This End User License Agreement ("Agreement") is between you and DAYKLUB LLC, an Illinois limited liability company ("DAYKLUB", "we", "us"). It covers the Disc Vault (DV-1) software, including the VST3, Audio Unit and standalone versions, any updates, and its documentation (together, the "Software"). By installing or using the Software, you agree to this Agreement. If you don't agree, don't install or use it.
1. License
The Software is licensed, not sold. When you buy a license, DAYKLUB grants you a personal, non-exclusive, non-transferable license to install and use the Software on the computers that you own or control (there is no limit on how many of your own computers), for personal and commercial music production.
License key. Each purchase comes with a license key linked to your name, email address and order. Enter it in the Software to unlock it, once on each of your computers. Your key is for you alone. We may refuse or disable, including in future updates, keys that have been shared, published, or obtained without paying.
Demo mode. Without a license key, the Software runs in demo mode so you can try it: everything works, but the sound briefly drops out at regular intervals. To keep using the Software, buy a license.
You may use music, recordings and other works you create with the Software in any way, including commercially. DAYKLUB claims no rights in your music.
2. What you may not do
You may not:
- copy, share, sell, rent, lend, sublicense or redistribute the Software, or share your download;
- crack, bypass or tamper with any licensing or copy protection;
- share, publish or sell your license key, or use a key that wasn't issued to you;
- reverse engineer, decompile or disassemble the Software, except where the law expressly allows it despite this restriction;
- remove or change any copyright, trademark or license notices.
3. Your content and third-party rights
The Software does not include any sounds, samples or sample libraries. It is a tool for opening, organizing and playing sound files and disc images that you supply.
- You are solely responsible for making sure you own, or have a valid license or permission for, every file you load into the Software and every way you use it.
- DAYKLUB does not provide, sell, endorse or encourage access to any third-party sound library.
- References to file formats or hardware (for example "Akai S1000/S3000 format") describe compatibility only. They do not mean any affiliation with, or endorsement by, those trademark owners. All trademarks belong to their respective owners.
4. Ownership
DAYKLUB LLC and its licensors own the Software and all intellectual property in it, including the names DAYKLUB, Disc Vault and DV-1 and the Software's design. Everything not expressly granted to you is reserved.
The Software includes third-party components used under their own licenses. Those are listed in the Third-Party Notices included with the Software, and they govern those components.
5. Updates and support
We may release updates, fixes and new versions, and may offer support, at our discretion. Updates are covered by this Agreement unless they come with different terms. We are not required to provide updates or support.
6. Refunds
Because the Software is a digital download, all sales are final, except where the law requires otherwise. If the Software does not work on your system, contact dayklubofc@gmail.com within 14 days of purchase and we will help or, at our discretion, refund you.
7. No warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. DAYKLUB DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT IT WILL WORK WITH EVERY HOST APPLICATION, OPERATING SYSTEM OR FILE. YOU ARE RESPONSIBLE FOR BACKING UP YOUR PROJECTS AND FILES.
8. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW, DAYKLUB WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, PROJECTS OR RECORDINGS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE. DAYKLUB'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE. Some places don't allow these limits, so they may not fully apply to you.
9. Indemnity
You agree to defend and hold DAYKLUB harmless from claims arising from the content you load into or create with the Software, or from your breach of this Agreement, including any claim that you used sound files you did not have the rights to use.
10. Termination
This license ends automatically if you break this Agreement. When it ends, you must stop using the Software and delete all copies. Sections 3, 4 and 7 to 12 continue after it ends.
11. Governing law
This Agreement is governed by the laws of the State of Illinois, USA, without regard to conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Cook County, Illinois, unless the law where you live gives you the right to bring it elsewhere.
12. General
This Agreement is the entire agreement about the Software and replaces earlier understandings. If any part is unenforceable, the rest still applies. We may update this Agreement for future versions; the version that came with your copy applies to it. Our failure to enforce a term is not a waiver.
